PLEASE READ THESE TERMS OF SERVICE CAREFULLY. BY ACCESSING OR USING THE SANDSCAPE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS OF SERVICE AND ALL TERMS INCORPORATED BY REFERENCE. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, DO NOT ACCESS OR USE THE SERVICE.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Sandscape ("Sandscape," "we," "us," or "our") governing your access to and use of the Sandscape multi-platform social gaming application, website (www.sandscape.ai), and related services (collectively, the "Service"). The Service allows users to create, play, and share AI-generated games using prompts, interact with other users, and participate in our creator marketplace.

These Terms incorporate by reference our Privacy Policy, Cookie Policy, and Community Guidelines. Your use of the Service is also subject to these additional policies, which you should review carefully.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Service, updating the "Effective Date," and/or through other communications. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the modified Terms, you must stop using the Service.

2. Eligibility and Account Registration

Eligibility: You must be at least 13 years old (or 16 years old if you are in the European Economic Area or UK, or such other age as required by applicable law in your jurisdiction) to create an account and use the Service. By creating an account, you represent and warrant that you meet the applicable age requirement and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an entity, you represent and warrant that you are authorized to accept these Terms on that entity’s behalf.

Account Registration: To access most features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You may be required to provide an email address and create a password, or use a third-party authentication service (e.g., Google, Apple).

Account Security: You are responsible for safeguarding your account credentials (password) and for any activities or actions that occur under your account, whether or not you have authorized them. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to protect your account credentials.

Account Responsibility: You are solely responsible for all activities conducted through your account. You may not share your account with others or allow others to access or use the Service through your account.

3. License to Use the Service

Subject to your compliance with these Terms, Sandscape grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your personal, non-commercial use (unless otherwise permitted, e.g., for creators in the Marketplace under specific terms). This license includes the right to download and install the Sandscape application on devices you own or control and to access and use the Service through supported platforms (iOS, Android, Windows, macOS, Web).

This license does not include any right to: (a) sell, resell, or commercially use the Service or its content (except as expressly permitted by the Creator Marketplace terms); (b) distribute, publicly perform, or publicly display any part of the Service or its content (except for sharing UGC as intended by the Service); (c) modify or otherwise make any derivative uses of the Service or its content, or any portion thereof; (d) use any data mining, robots, or similar data gathering or extraction methods; (e) download (other than page caching) any portion of the Service, its content, or any information contained therein, except as expressly permitted; or (f) use the Service or its content other than for their intended purposes. Any use of the Service or its content other than as specifically authorized herein, without the prior written permission of Sandscape, is strictly prohibited and will terminate the license granted herein.

4. User-Generated Content (UGC)

The Service allows you to create, submit, post, display, transmit, and share content, including text prompts used to generate games and the resulting AI-generated games, as well as comments, profile information, and other materials (collectively, "User-Generated Content" or "UGC").

• Responsibility for UGC: You are solely responsible for your UGC, including the prompts you submit and any content you share. You represent and warrant that you have all necessary rights, licenses, consents, and permissions to submit your prompts and create UGC, and that your UGC (including prompts and the resulting games, to the extent you control their creation and use) does not and will not infringe, misappropriate, or violate any third party's intellectual property rights, privacy rights, publicity rights, or other proprietary rights, nor violate any applicable law or regulation or these Terms, including our Community Guidelines.
• Prompts: You retain ownership of the original text prompts you submit to the Service. However, by submitting prompts, you grant Sandscape the license described below.
• AI-Generated Games: The ownership of content generated by artificial intelligence is a complex and evolving legal area. Sandscape uses AI models to generate games based on your prompts.
  • License to You: Subject to your compliance with these Terms and any restrictions herein, Sandscape grants you a broad, worldwide, non-exclusive, royalty-free license to use, reproduce, display, perform, distribute, and create derivative works of the specific AI-generated games created directly from your prompts through the Service, for both personal and commercial purposes [Confirm commercial use allowance - adjust if needed, e.g., link to Marketplace terms for commercialization]. This license is contingent upon your prompt not infringing third-party rights and your use complying with these Terms and Community Guidelines. You acknowledge that due to the nature of AI, similar games may be generated for other users using similar prompts, and you will not have exclusive rights to any specific game output.
  • Disclaimer: Sandscape makes no representations or warranties regarding the originality, uniqueness, or non-infringement of AI-generated games. You use AI-generated games at your own risk, and Sandscape disclaims any liability related to copyright or other intellectual property claims concerning AI-generated games.
• License Grant to Sandscape: By creating, submitting, or sharing any UGC (including prompts and the generated games) on or through the Service, you grant Sandscape a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, host, store, cache, reproduce, modify, adapt, edit, publish, analyze, display, perform, distribute, translate, create derivative works from, and otherwise exploit such UGC, in whole or in part, in any media formats and through any media channels now known or hereafter developed, for the purposes of operating, providing, improving, developing, promoting, and marketing the Service, including training our AI models (as further described in our Privacy Policy). This license continues even if you stop using the Service or delete your account, particularly for anonymized data or content shared publicly or with other users.
• Content Restrictions: You agree not to create, submit, or share any UGC that violates these Terms or our Community Guidelines. This includes content that is illegal, fraudulent, defamatory, obscene, pornographic, vulgar, offensive, harassing, hateful, discriminatory, infringing, invasive of privacy or publicity rights, or otherwise objectionable.
• Moderation: We reserve the right, but are not obligated, to review, monitor, screen, edit, or remove any UGC at any time and for any reason, without notice, including if we believe it violates these Terms or our Community Guidelines. We may use automated systems and human moderators to enforce our policies.
• Reporting Mechanism: We provide tools for users to report UGC that they believe violates our Terms or Community Guidelines. We will investigate reports and take appropriate action, but we do not guarantee any specific outcome.
• Feedback: If you provide feedback, suggestions, or ideas about the Service ("Feedback"), you grant us a non-exclusive, worldwide, royalty-free, irrevocable, sublicensable license to use and exploit such Feedback for any purpose, without restriction or compensation to you.

5. Intellectual Property Rights

• Sandscape IP: The Service and its underlying technology, including all software, code, interfaces, graphics, design, compilation, information, data, computer code (including source code and object code), products, services, and all other elements of the Service, along with all related intellectual property rights (including trademarks, service marks, logos, trade names, copyrights, patents, and trade secrets) (collectively, "Sandscape IP"), are owned by Sandscape or our licensors and are protected by intellectual property and other laws. Except for the limited license granted to you in Section 3, Sandscape and its licensors reserve all rights, title, and interest in and to the Sandscape IP.
• User IP: As stated in Section 4, you retain ownership of your original prompts. You are granted a license to the AI-generated games created from your prompts under the terms specified in Section 4. You are responsible for ensuring your UGC does not infringe on third-party IP rights.
• Copyright Infringement Policy (DMCA): Sandscape respects the intellectual property rights of others and expects its users to do the same. We will respond to notices of alleged copyright infringement that comply with applicable law, including the Digital Millennium Copyright Act (DMCA). If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement and is accessible via the Service, please notify our designated copyright agent. Our policy includes terminating the accounts of repeat infringers in appropriate circumstances. 6. Prohibited Conduct

You agree not to engage in, or attempt to engage in, any of the following prohibited activities in connection with your use of the Service:

• Violating any applicable law, regulation, or ordinance.
• Infringing, misappropriating, or violating the intellectual property rights, privacy rights, publicity rights, or other legal rights of any third party.
• Creating, submitting, or sharing any UGC that is illegal, harmful, fraudulent, deceptive, threatening, harassing, defamatory, obscene, pornographic, vulgar, invasive of another's privacy, hateful, discriminatory, or otherwise objectionable, as determined by us in our sole discretion, or that violates our Community Guidelines.
• Using the Service for any commercial purpose not expressly permitted by these Terms (e.g., unauthorized advertising, solicitation).
• Accessing, tampering with, or using non-public areas of the Service, Sandscape's computer systems, or the technical delivery systems of our providers.
• Attempting to probe, scan, or test the vulnerability of any Sandscape system or network or breach any security or authentication measures.
• Avoiding, bypassing, removing, deactivating, impairing, descrambling, or otherwise circumventing any technological measure implemented by Sandscape or any of our providers or any other third party to protect the Service.
• Attempting to access or search the Service or download content from the Service through the use of any engine, software, tool, agent, device, or mechanism (including spiders, robots, crawlers, data mining tools, or the like) other than the software and/or search agents provided by Sandscape or other generally available third-party web browsers.
• Sending any unsolicited or unauthorized advertising, promotional materials, email, junk mail, spam, chain letters, or other form of solicitation.
• Using the Service to collect or store personal data about other users without their express permission.
• Impersonating or misrepresenting your affiliation with any person or entity.
• Interfering with, or attempting to interfere with, the access of any user, host, or network, including, without limitation, sending a virus, overloading, flooding, spamming, or mail-bombing the Service.
• Engaging in any conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which, as determined by us, may harm Sandscape or users of the Service or expose them to liability.
• Encouraging or enabling any other individual to do any of the foregoing.

Violation of these rules may result in the suspension or termination of your account and access to the Service, removal of your UGC, and potential legal action.

7. Community Guidelines

Your use of the Service, particularly your creation of UGC and interactions with other users, is subject to our Community Guidelines. The Community Guidelines provide more detailed rules about acceptable conduct and content on Sandscape. You agree to abide by the Community Guidelines, which are incorporated by reference into these Terms. Failure to comply with the Community Guidelines constitutes a breach of these Terms.

8. Monetization Terms

Sandscape offers various ways to access features and content, some of which require payment. The following terms apply to our monetization features:

• Subscriptions: We offer different subscription tiers (e.g., Free/Basic, Premium, Pro) with varying features and benefits.
  • Fees: Subscription fees are specified at the time of purchase and are billed on a recurring basis (e.g., monthly, annually) as selected by you.
  • Payment: You authorize us (or our third-party payment processor) to charge your chosen payment method for the recurring subscription fees.
  • Automatic Renewal: Subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date through your account settings or the relevant app store platform.
  • Cancellation: You can cancel your subscription at any time. Cancellation will take effect at the end of the current billing period, and you will retain access to subscription features until then. Fees paid for the current subscription period are generally non-refundable, except as required by law or explicitly stated otherwise.
  • Changes: We reserve the right to change subscription fees or features upon reasonable notice.
• Virtual Currency ("Sand Coins"): We may offer virtual currency ("Sand Coins") that can be purchased or earned and used within the Service to access certain features or content (e.g., generate additional games, purchase items in the marketplace).
  • License: Sand Coins are licensed, not sold. You acquire a limited, personal, non-transferable, non-sublicensable, revocable license to use Sand Coins within the Service.
  • No Real-World Value: Sand Coins have no cash value, are not redeemable for real money or any item of monetary value outside the Service, and cannot be transferred or sold to other users.
  • Usage: Sand Coins may only be used for permitted purposes within the Service. We may manage, regulate, control, modify, or eliminate Sand Coins at any time, with or without notice.
  • No Refunds: All purchases of Sand Coins are final and non-refundable, except as required by applicable law.
  • Expiration: We reserve the right to expire unused Sand Coins after a certain period of inactivity or as otherwise specified.
• Creator Marketplace: The Service includes a marketplace where eligible creators can offer their AI-generated games or related content for use by other users, potentially in exchange for Sand Coins or other consideration.
  • Separate Terms: Specific terms governing eligibility, content standards, intellectual property rights, revenue sharing, fees (e.g., platform commission), payment schedules, and the platform's role for the Creator Marketplace may be set forth in separate Creator Marketplace Terms [Consider creating separate terms if complex], which are incorporated herein by reference.
  • Platform Role: Sandscape acts as a platform provider for the marketplace. We are generally not a party to transactions between creators and buyers, except for facilitating payment and taking a platform fee. We do not guarantee the quality, legality, or safety of items offered in the marketplace.
• Advertising: Users on the free tier may be shown third-party advertisements. Your interaction with any advertisements is subject to the terms of the advertiser.
• Taxes: You are responsible for any applicable taxes arising from your purchases or earnings (e.g., marketplace sales) through the Service.

9. Third-Party Services and Links

The Service may contain links to third-party websites, applications, services, or resources (e.g., advertisers, payment processors, social media platforms) that are not owned or controlled by Sandscape. We provide these links only as a convenience and are not responsible for the content, products, services, or privacy practices of such third parties. You acknowledge sole responsibility for and assume all risk arising from your use of any third-party websites, services, or resources. Your interactions with third parties are governed by their respective terms and privacy policies.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

SANDSCAPE DOES NOT WARRANT THAT: (A) THE SERVICE WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED; (B) DEFECTS WILL BE CORRECTED; (C) THE SERVICE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (D) THE SERVICE WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.

SPECIFICALLY REGARDING AI-GENERATED CONTENT: YOU ACKNOWLEDGE THAT THE GAMES AND OTHER CONTENT GENERATED BY THE AI MODELS USED IN THE SERVICE ARE CREATED BASED ON PROMPTS AND EXISTING DATA. SANDSCAPE MAKES NO WARRANTIES OR REPRESENTATIONS REGARDING THE ACCURACY, COMPLETENESS, ORIGINALITY, UNIQUENESS, OR NON-INFRINGEMENT OF ANY AI-GENERATED CONTENT. THE AI MAY PRODUCE INACCURATE, OFFENSIVE, OR UNINTENDED OUTPUT. YOU USE AI-GENERATED CONTENT AT YOUR OWN RISK, AND SANDSCAPE DISCLAIMS ALL LIABILITY RELATED TO SUCH CONTENT, INCLUDING ANY CLAIMS OF INTELLECTUAL PROPERTY INFRINGEMENT.

SOME JURISDICTIONS DO NOT ALLOW THE DISCLAIMER OF IMPLIED WARRANTIES, SO THE FOREGOING DISCLAIMERS MAY NOT APPLY TO YOU TO THE EXTENT PROHIBITED BY LAW.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SANDSCAPE, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF SANDSCAPE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), ARISING OUT OF OR IN CONNECTION WITH: (A) YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE, INCLUDING WITHOUT LIMITATION, ANY DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF OTHER USERS OR THIRD PARTIES; (C) ANY CONTENT OBTAINED FROM THE SERVICE, INCLUDING AI-GENERATED CONTENT; (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT; OR (E) ANY OTHER MATTER RELATING TO THE SERVICE.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE AGGREGATE LIABILITY OF SANDSCAPE AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS EXCEED THE GREATER OF: (I) THE TOTAL AMOUNT PAID BY YOU TO SANDSCAPE IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (II) ONE HUNDRED U.S. DOLLARS (USD $100.00).

THE LIMITATIONS OF THIS SECTION SHALL APPLY TO ANY THEORY OF LIABILITY, WHETHER BASED ON WARRANTY, CONTRACT, STATUTE, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, AND WHETHER OR NOT SANDSCAPE HAS BEEN INFORMED OF THE POSSIBILITY OF ANY SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU TO THE EXTENT PROHIBITED BY LAW.

12. Indemnification

You agree to defend, indemnify, and hold harmless Sandscape, its affiliates, licensors, and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your UGC, including any claim that your UGC infringes, misappropriates, or violates any third party's intellectual property, privacy, or other rights; (c) your use of the Service (including AI-generated content) other than as expressly authorized in these Terms; or (d) your violation of any applicable law or the rights of a third party.

13. Termination

We may suspend or terminate your access to and use of the Service, including suspending access to or terminating your account, at our sole discretion, at any time and without notice or liability to you, for any reason or no reason, including but not limited to your breach of these Terms or our Community Guidelines.

You may cancel your account and terminate these Terms at any time by contacting us or using the account deletion feature within the Service (if available).

Upon any termination, discontinuation, or cancellation, the following Sections will survive: 4 (UGC, specifically the license grant to Sandscape and disclaimers), 5 (Intellectual Property Rights), 8 (Monetization Terms, regarding earned fees or outstanding payments), 10 (Disclaimers), 11 (Limitation of Liability), 12 (Indemnification), 14 (Dispute Resolution), and 16 (Miscellaneous). Upon termination, your license to use the Service (Section 3) will automatically terminate, and we may delete your account and UGC, subject to our data retention practices outlined in the Privacy Policy.

14. Dispute Resolution

Governing Law: These Terms and any action related thereto will be governed by the laws of [Insert Jurisdiction, e.g., the State of California] without regard to its conflict of laws provisions.

Agreement to Arbitrate: You and Sandscape agree that any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof or the use of the Service (collectively, "Disputes") will be settled by binding arbitration, except that each party retains the right: (i) to bring an individual action in small claims court and (ii) to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights.

Arbitration Rules: The arbitration will be administered by the American Arbitration Association ("AAA") in accordance with the Commercial Arbitration Rules and the Supplementary Procedures for Consumer Related Disputes (the "AAA Rules") then in effect, except as modified by this "Dispute Resolution" section. (The AAA Rules are available at www.adr.org or by calling the AAA at 1-800-778-7879.) The Federal Arbitration Act will govern the interpretation and enforcement of this Section.

Arbitration Process: A party who desires to initiate arbitration must provide the other party with a written Demand for Arbitration as specified in the AAA Rules. The arbitrator will be either a retired judge or an attorney licensed to practice law and will be selected by the parties from the AAA's roster of arbitrators. If the parties are unable to agree upon an arbitrator within seven (7) days of delivery of the Demand for Arbitration, then the AAA will appoint the arbitrator in accordance with the AAA Rules.

Arbitration Location and Procedure: Unless you and Sandscape otherwise agree, the arbitration will be conducted in the county where you reside. If your claim does not exceed $10,000, then the arbitration will be conducted solely on the basis of documents you and Sandscape submit to the arbitrator, unless you request a hearing or the arbitrator determines that a hearing is necessary. If your claim exceeds $10,000, your right to a hearing will be determined by the AAA Rules. Subject to the AAA Rules, the arbitrator will have the discretion to direct a reasonable exchange of information by the parties, consistent with the expedited nature of the arbitration.

Arbitrator's Decision: The arbitrator will render an award within the time frame specified in the AAA Rules. The arbitrator's decision will include the essential findings and conclusions upon which the arbitrator based the award. Judgment on the arbitration award may be entered in any court having jurisdiction thereof. The arbitrator's award of damages must be consistent with the terms of the "Limitation of Liability" section above as to the types and amounts of damages for which a party may be held liable.

Fees: Your responsibility to pay any AAA filing, administrative, and arbitrator fees will be solely as set forth in the AAA Rules.

Class Action Waiver: YOU AND SANDSCAPE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both you and Sandscape agree otherwise, the arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding.

Changes: Notwithstanding the provisions of the "Modifications to Terms" section above, if Sandscape changes this "Dispute Resolution" section after the date you first accepted these Terms (or accepted any subsequent changes to these Terms), you may reject any such change by sending us written notice within 30 days of the date such change became effective. By rejecting any change, you are agreeing that you will arbitrate any Dispute between you and Sandscape in accordance with the provisions of this "Dispute Resolution" section as of the date you first accepted these Terms (or accepted any subsequent changes to these Terms).

15. Modifications to Terms

We reserve the right, in our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect, such as by posting the updated Terms on the Service or sending an email notification. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using the Service.

16. Miscellaneous

• Entire Agreement: These Terms, together with the Privacy Policy, Cookie Policy, Community Guidelines, and any other agreements expressly incorporated by reference, constitute the entire and exclusive understanding and agreement between Sandscape and you regarding the Service, and supersede and replace any and all prior oral or written understandings or agreements between Sandscape and you regarding the Service.
• Severability: If any provision of these Terms is held invalid or unenforceable by an arbitrator or a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible and the other provisions of these Terms will remain in full force and effect.
